Bio

Jeffrey K. Christensen is a member of DarrowEverett’s Mergers & Acquisitions, Private Equity, Capital Markets & Securities, and Corporate & Business Transactions Practice Groups. Jeff advises clients across a broad spectrum of business transactions, with a primary focus on mergers & acquisitions, private equity fund formation, and general corporate representation. Jeff represents private equity sponsors, founder-owned businesses, and middle-market companies in complex buy-side and sell-side transactions spanning industries such as construction, manufacturing, software, infrastructure, and professional services.

Prior Experience

Prior to joining the firm, Jeff gained experience as a corporate associate at a transactional boutique firm in Charlotte, North Carolina, concentrating on mergers & acquisitions, commercial contracts, commercial real estate transactions, and other general corporate matters.

Representative Matters

Representative Matters

  • Represented a U.S.-based highway construction company in connection with a cross-border platform investment by an international private equity sponsor. This included navigating extensive due diligence and international compliance work to ensure full adherence to applicable cross-border regulations.
  • Represented the founder of a highway construction company through a sponsor-to-sponsor exit transaction, providing counsel on rollover equity reinvestment structuring, negotiating equity rollover documentation, and guiding management through governance and economic terms.
  • Advised a software company in its sale to a private equity-backed strategic buyer in an add-on acquisition. This transaction included navigating complex negotiations over indemnification procedures, representations and warranties insurance (RWI), and specific indemnities, which underscores the critical role of thorough and efficient diligence in M&A transactions.
  • Represented the buyer in the platform acquisition of a manufacturing company. Managed cross-jurisdictional coordination with South Carolina counsel to simultaneously close concurrent real property transactions in compliance with SBA financing conditions.
  • Represented a founder-owned landscape design and construction company in its sale to a private equity sponsor.
