Representative Matters in Massachusetts

We earned summary judgment in a multifaceted shareholder dispute involving three interrelated business entities and overlapping commercial agreements. The plaintiff, a minority shareholder, alleged freeze out and sought to hold our client liable for aiding and abetting fiduciary breaches and civil conspiracy based on a long term lease, license, and asset purchase agreement. Navigating complex corporate relationships, contested ownership interests, and expansive theories of secondary liability, we presented a targeted, fact driven argument before the Massachusetts Superior Court’s Business Litigation Session. The court dismissed all claims against our client, removing them from the litigation months before trial and eliminating the cost and disruption of continued involvement.

We secured class certification in the U.S. District Court for the District of Massachusetts in litigation asserting violations of the Massachusetts Wage Act arising from National Grid’s alleged company-wide payroll policy affecting salaried employees. The certified class includes more than 100 employees, with treble damages under the Wage Act at issue. The court determined that common issues predominate in challenging an asserted uniform payroll practice applied across the employer’s Massachusetts workforce. With certification granted, the matter will proceed through class notice and continued pretrial proceedings.

We negotiated the sale of 71.7 megawatts of renewable energy projects, including mechanisms for joint efforts to ensure safe harbor of projects for federal tax purposes.
