Representative Matters in Rhode Island
We served as seller’s counsel in closing the sale of a kitchen and bath design and installation business. As part of our representation, we negotiated the Asset Purchase Agreement, promissory notes (including buyer personal guaranties), and intercreditor subordination agreements, and also advised on the process for transitioning ownership and operations to the buyer.
In Rhode Island Superior Court, we successfully secured the dismissal of two felony charges against our client, who faced allegations of taking property under false pretenses and the alleged financial exploitation of an elder. Through witness statements and supporting affidavits, we demonstrated the claims were unfounded. The Attorney General’s office dismissed the case outright, allowing our client to move forward and reunite with her mother.
