Bio
Andrew P. Sutton is Co-Chair of DarrowEverett’s Commercial Real Estate and Banking & Finance Practice Groups. He advises clients on the full spectrum of commercial real estate matters, including complex transactions, financings, and development projects throughout the United States. Andrew represents property owners, developers, investors, landlords, tenants, lenders, and financial institutions in matters requiring strategic structuring, disciplined due diligence, and a clear understanding of business objectives.
Andrew’s practice includes acquisitions and dispositions; construction, bridge, and permanent financing; land use, zoning, and permitting; and development and redevelopment of commercial, industrial, residential, and mixed-use assets. He manages sophisticated commercial leasing matters across retail, industrial and logistics, and office portfolios. He regularly advises on property rights, joint ventures, entity structuring, historic and other tax-credit transactions, telecommunications infrastructure, and renewable and distributed-generation facilities.
Andrew leads negotiations and diligence for multi-party transactions and focuses on resolving title, survey, environmental, easement, and entitlement issues that directly impact deal feasibility, risk allocation, and valuation. He also maintains a significant registered land practice, representing clients before the Massachusetts Land Court on land registration proceedings, amendments to certificates of title, and other issues affecting conveyancing, financing, and large-scale development.
Andrew represents clients in permitting matters before municipal and quasi-public bodies including city councils, select boards, planning boards, conservation commissions, and zoning boards of appeal and advises on permitting strategy for development and redevelopment projects.
Andrew also advises clients on corporate real property matters arising in the purchase and sale of operating businesses, including real estate components of stock and asset acquisitions, lease assignments, sale-leasebacks, and entity-level restructurings. His experience includes multi-property and portfolio-level transactions involving acquisitions, dispositions, financings, and recapitalizations across diverse asset classes.
In addition to his real estate practice, Andrew counsels clients on privacy, cybersecurity, and artificial intelligence compliance. He serves as Co-Chair of the Massachusetts Bar Association’s Artificial Intelligence Committee, and his work includes assessing security controls; identifying vulnerabilities and remediation strategies; advising on compliance with state, federal, and international privacy regimes; negotiating data processing and vendor agreements; overseeing breach response and regulatory engagement; and representing clients in regulatory investigations.

Representative Matters

Represented a beverage manufacturing company in the acquisition of a Central Massachusetts production facility, including negotiation of a substantial seller holdback tied to post-closing remediation of access and environmental issues. I resolved significant title, wetlands, zoning, and regulatory issues to mitigate risk and reduce transaction costs.

Represented the owner of a major New England intermodal logistics hub in the negotiation of a long-term industrial lease with a national double-stack rail terminal operator, addressing rail-served operations, trans-load and warehouse functions, hazardous materials and environmental compliance, heavy equipment use, municipal interface, security protocols, and integrated supply-chain requirements across a 20 acre and 365,000-square-foot logistics complex.

Represented the owner of a mixed-use industrial and office asset in Boston in connection with a strategic disposition involving title, environmental, and operational considerations.

Represented the ground lessee in the long-term lease and development of a 540-bed residence-hall public-private partnership on a Massachusetts university campus, including lease structuring, title and land-use analysis, and coordination of local counsel support for tax-exempt bond financing issued through MassDevelopment. The project includes two new residence-hall buildings totaling more than 140,000 square feet of traditional and suite-style student housing with academic and amenity space.

Advised trustees in the subdivision, title restructuring, and conservation disposition of one of the largest remaining privately owned properties on Chappaquiddick Island. Work included withdrawal of selected parcels from the Massachusetts land registration system, removal of MGL c. 61A and c. 61B restrictions, discharge of rights of first refusal, securing subdivision approvals, negotiating right-of-way agreements, coordinating distribution of parcels among beneficiaries and conservation entities, and obtaining expedited land court approvals to preserve eligibility for a $1.25 million state landscape partnership conservation grant.

Represented a multi-entity ownership group in the liquidation and disposition of a Massachusetts retail property portfolio, including complex structuring, coordinated closings, and compliance with IRC §1031 exchange requirements.

Advised a Massachusetts academic institution in the negotiation of a long-term lease and the development of related athletic facilities, including construction, operational, and financing components.

Andrew’s writing focuses on Real Estate and Technology, including AI governance structures, risk management, data strategy, and the integration of emerging technologies into legal and Property Management operations. He contributed to the development of national standards for the responsible use of artificial intelligence, serving as a co-author of a chapter in the American Bar Association’s book Artificial Intelligence: Legal Issues, Policy, and Practical Strategies (ABA Book Publishing, 2024), a leading practitioner guide addressing AI governance, ethics, and regulatory risk. He also co-authored one of the earliest published articles on artificial intelligence for the New Hampshire Bar Journal, addressing foundational legal and regulatory considerations for practitioners. Mr. Sutton, was an early advocate for the deployment of privacy and cyber security strategies with respect to digital systems related to real property and municipal assets.
