Dual-Tranche Recapitalization in Regulated Gaming Industry
We represented an investment group (the subordinated lender) and the borrower in connection with a simultaneous senior secured and subordinated debt recapitalization. The transaction comprised a syndicated senior secured credit facility — consisting of a term loan and revolving facility — alongside a concurrent subordinated promissory note held by the investment group. The deal included a comprehensive intercreditor and subordination agreement governing payment blockage, enforcement standstills, bankruptcy-related consents, and a senior debt purchase option in favor of the investment group. The team negotiated and documented the full loan suite across both tranches, delivered closing opinions, and coordinated a multi-party simultaneous close in a regulated gaming industry context.
Senior Secured Acquisition Financing: Country Club & Golf Enterprise
We represented a private investment firm in connection with a senior secured term loan facility extended to a private country club and golf membership enterprise, providing acquisition financing for the purchase of the borrower's flagship club property and an adjacent developable parcel. The facility combined a real estate-secured term loan with equity-linked lender upside participation, including a detachable warrant for a minority equity stake and a revenue participation arrangement tied to membership fees and dues, supported by springing lockbox and waterfall mechanics. The team prepared and closed the full complement of credit, security, and real estate documentation while simultaneously coordinating the underlying acquisition through a successful sign-and-close alongside the financing.
Advised Co-Sponsors on $350M Fuel Retail Portfolio and $250M Fund
We advised the co-sponsors in the formation and execution of an institutional-scale fuel and convenience retail investment platform, providing integrated corporate, real estate, finance, securities, and tax counsel. The engagement included structuring and offering a tax-advantaged evergreen fund targeting approximately $250 million, designing a sophisticated multi-party ownership and acquisition structure, acquiring a portfolio of more than 75 fuel and convenience properties across eight states valued at over $350 million, and negotiating a $250 million syndicated credit facility to support ongoing growth. Our team coordinated all aspects of the platform, including joint venture arrangements, capital raising, acquisition and financing strategies, downstream property-holding vehicles, and real estate ownership structures designed to maximize depreciation benefits and future liquidity. We also advised on large-scale sale-leaseback transactions and tax-efficient monetization strategies, demonstrating our ability to guide sponsors through the full lifecycle of a fuel retail platform—from venture formation and acquisitions to operations, branding initiatives, real estate optimization, portfolio expansion, and tax-deferred reinvestment opportunities.
